END USER LICENSE AGREEMENT (EULA)

Effective Date: Upon acceptance by the Licensee.

This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee" or "You") and Amicis Solutions Inc. ("Amicis") governing your access to and use of Amicis software made available through the Microsoft AppSource portal ("Software").

By accessing, installing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, you may not access or use the Software.

DEFINITIONS

• Software: The Amicis software accessed via Microsoft AppSource.
• Materials: Any documentation, data, or content provided with the Software.
• Trial Period: The limited-time access period granted upon registration.
• Subscription: Ongoing access granted upon payment of applicable fees.

LICENSE GRANT

Amicis grants you a non-exclusive, non-transferable, revocable license to use the Software and Materials solely for your internal business purposes, subject to the terms of this Agreement.

• Access during the Trial Period is limited and may be subject to login credentials and security requirements.
• Continued use beyond the Trial Period requires an active subscription.
• Access may be terminated if you breach this Agreement or fail to maintain an active subscription.

RESTRICTIONS

You may not:

• Copy, modify, distribute, or publicly display the Software or Materials.
• Reverse engineer, decompile, or disassemble the Software.
• Share access credentials or sublicense the Software to third parties.
• Remove or alter any proprietary notices or labels.

INTELLECTUAL PROPERTY

All intellectual property rights in the Software and Materials remain the sole property of Amicis and its licensors. No rights are granted except as expressly stated in this Agreement.

SUPPORT

Amicis does not provide support under this Agreement. For support services, please contact Amicis directly under a separate agreement.

YOUR RESPONSIBILITIES

You are solely responsible for:

• The accuracy, legality, and integrity of your data.
• Compliance with applicable laws regarding data use and storage.
• Maintaining your own IT infrastructure, including security and backups.

PRIVACY

Amicis may process personal data for security and logging purposes. By using the Software, you consent to such processing. For more information, please refer to our Privacy Policy.

NO WARRANTY

The Software and Materials are provided "as is" without warranties of any kind. Amicis disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, Amicis shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to this Agreement or the use of the Software.

INDEMNIFICATION

You agree to indemnify and hold harmless Amicis from any claims, damages, or liabilities arising from your use of the Software or violation of this Agreement.

TERMINATION

This Agreement may be terminated:

• Upon expiration of the Trial Period or subscription.
• Immediately by Amicis if you breach any term of this Agreement.

Upon termination, you must cease all use of the Software and delete all copies in your possession. Any costs associated with this process are your responsibility.

GOVERNING LAW

This Agreement is governed by the laws of the State of Georgia, excluding its conflict of laws principles. You consent to the exclusive jurisdiction of the state and federal courts located in Georgia.

SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Amicis regarding the Software and supersedes all prior agreements or understandings.
